1. Acceptance of Terms
By accessing or using the website of Tricode Clinical Pty Ltd ("Tricode Clinical", "we", "us", or "our"), or by engaging our regulatory consulting services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Our Services
Tricode Clinical provides regulatory affairs consulting and local sponsor services to clients seeking to submit dossiers to the Therapeutic Goods Administration (TGA) and conduct clinical trials in Australia. Our services include, but are not limited to, regulatory strategy, CTN/CTA submissions, OGTR licensing, ARTG applications, and acting as Local Sponsor or Regulatory Agent on behalf of clients.
3. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information required for us to perform our services
- Make timely decisions and provide necessary approvals
- Comply with all applicable Australian laws and regulations
- Pay fees in accordance with the agreed terms
4. Fees and Payment
Fees for our services will be agreed in writing prior to commencement of work. Unless otherwise agreed, invoices are payable within 14 days of the invoice date. We reserve the right to suspend services if payment is not received in accordance with agreed terms.
5. Confidentiality
We will maintain the confidentiality of all information you provide to us in connection with our engagement, except where disclosure is required by law or with your prior written consent. This obligation continues for a period of five years after the termination of our engagement.
6. Intellectual Property
All intellectual property developed by us in the course of providing services to you remains our property unless otherwise agreed in writing. You are granted a non-exclusive licence to use deliverables for the purpose for which they were created.
7. Limitation of Liability
To the maximum extent permitted by law, our total liability to you in connection with any engagement shall not exceed the total fees paid by you to us in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential loss.
8. Termination
Either party may terminate an engagement by providing 14 days' written notice. You remain responsible for payment of all work completed up to the date of termination.
9. Governing Law
These Terms of Service are governed by the laws of Victoria, Australia. Any disputes arising under these terms shall be resolved in the courts of Victoria.
